Jiaxing Yuewu User Agreement
Welcome to Jiaxing Yuewu's products and services.
To use Jiaxing Yuewu's services, you shall read and comply with this Jiaxing Yuewu User Agreement (the "Agreement") and the Jiaxing Yuewu Privacy Policy. Please read all terms carefully and make sure you fully understand them, especially provisions concerning limitation or exclusion of liability, restrictions on user rights, dispute resolution, and jurisdiction.
By clicking "Register," "Log In," or "Agree," by actually using Jiaxing Yuewu's services, or by otherwise expressly or implicitly accepting this Agreement, you are deemed to have fully read, understood, and accepted all terms of this Agreement. If you do not agree to this Agreement or any part of it, please stop the registration process immediately and discontinue use of Jiaxing Yuewu's services.
If you are a minor, please read this Agreement with your legal guardian and use Jiaxing Yuewu's services only after obtaining the guardian's consent.
I. Definitions
1.1 Jiaxing Yuewu: refers to the operating entities, business entities, and affiliated companies under the Jiaxing Yuewu brand that provide relevant products and services, collectively referred to as "Jiaxing Yuewu," "we," "us," or "our." The specific entity performing obligations to you shall be determined according to the relevant service page, order page, checkout page, agreement page, or other published entity information at the time of service.
1.2 Jiaxing Yuewu Services: refers to the various products and services provided by Jiaxing Yuewu via websites, desktop or mobile clients, mini programs, H5 pages, and other online forms, including but not limited to EDA design, PCB prototyping, SMT assembly, laser stencil services, 3D printing, electronic component procurement, FA mechanical parts procurement, supply chain services, community interaction, and other one-stop services related to the electronics industry chain, as actually made available by Jiaxing Yuewu from time to time.
1.3 Jiaxing Yuewu User: refers to any person who uses Jiaxing Yuewu's services and is referred to in this Agreement as "you."
1.4 Separate Agreements or Rules: refers to service descriptions, transaction rules, after-sales policies, campaign rules, intellectual property rules, infringement complaint rules, and other documents additionally displayed or published for specific products, businesses, activities, or functions.
1.5 Affiliate: refers to any company, enterprise, or other business entity related to Jiaxing Yuewu through common ownership, control, or other legally recognized affiliation.
This Agreement consists of: this Agreement, the Jiaxing Yuewu Privacy Policy, and any additional rules, statements, and descriptions issued by Jiaxing Yuewu for specific services or businesses.
Once officially published, the foregoing documents become integral parts of this Agreement. In the event of any inconsistency between a separate agreement and this Agreement, the separate agreement shall prevail.
II. Parties and Scope of Application
2.1 This Agreement is entered into between you and Jiaxing Yuewu in connection with your registration, login, browsing, quotation requests, order placement, payment, use of electronics-industry-chain services, and related after-sales services, and is legally binding on both parties.
2.2 Jiaxing Yuewu entities may be added, changed, or split due to business development, organizational restructuring, or product adjustments. Any such change shall not diminish your lawful rights already obtained under this Agreement.
2.3 The Jiaxing Yuewu Privacy Policy and all separate agreements and rules, once officially published, form integral parts of this Agreement. Your acceptance of any such separate agreement or rule shall be deemed acceptance of this Agreement in full.
III. Account Registration
3.1 You represent and warrant that you have the civil rights capacity and civil conduct capacity appropriate for using Jiaxing Yuewu's services. If you do not have such capacity, you shall register for and use Jiaxing Yuewu's services only under the consent, guidance, and supervision of your guardian.
3.2 You shall ensure that you are not a person or entity subject to trade restrictions, sanctions, or other legal restrictions imposed by any country, international organization, or region. Otherwise, you shall stop using Jiaxing Yuewu's services.
3.3 Jiaxing Yuewu is committed to providing one-stop services across the electronics industry chain. For your convenience, the account and password you register may be used across multiple Jiaxing Yuewu products and services, including but not limited to design tools, PCB/SMT/laser stencil services, component mall services, FA mall services, community services, and other related businesses.
3.4 Jiaxing Yuewu accounts may take various forms, including mobile numbers, email addresses, usernames, and linked WeChat accounts. When you register one form of account, Jiaxing Yuewu may also provide other corresponding account forms, subject to the actual display on the platform.
3.5 You shall register and use Jiaxing Yuewu accounts in a reasonable manner. If there is evidence, or if we determine through technical means, that you have engaged in improper registration, improper use of multiple accounts and/or customer codes, bulk registration, credential stuffing, identity theft, or similar conduct, we may freeze or disable the relevant account and/or customer code, cancel orders, and refuse to provide services; if losses are caused to Jiaxing Yuewu or any related party, you shall also bear corresponding liability for damages.
IV. Account and Service Use
4.1 In principle, your Jiaxing Yuewu account may only be used by you personally or by personnel of your company lawfully authorized by you. Without Jiaxing Yuewu's prior written consent, you may not lease, lend, transfer, sell, gift, or otherwise dispose of your account in any manner.
4.2 Because user accounts are associated with your personal information, transaction information, credit information, customer number, quotation information, and business data, you may transfer your account only where expressly required by law, pursuant to a judicial ruling, or with Jiaxing Yuewu's consent and in compliance with the platform's account transfer procedures.
4.3 Ownership of the account belongs to Jiaxing Yuewu. During the period of use, you only enjoy the right to use the account in accordance with this Agreement and relevant rules.
4.4 You shall continuously provide true, up-to-date, complete, and valid information. Where user information verification is required by law, Jiaxing Yuewu may inspect and verify your information from time to time, and you shall cooperate accordingly.
4.5 If we are unable to contact you based on the latest information you provided, if the information you provide is obviously false, expired, or invalid, or if you refuse to cooperate with necessary verification, you shall bear all resulting losses and adverse consequences. Jiaxing Yuewu may issue inquiries, require re-verification, and further suspend or terminate part or all services provided to you.
4.6 You shall properly safeguard your account, password, verification codes, and other login credentials. Any loss or damage caused by your failure to keep account information secure shall be borne by you.
4.7 Except where Jiaxing Yuewu is at fault as required by law, you shall be responsible for all consequences of actions taken under your account, including but not limited to online agreement execution, submission of design files, quotation requests, order placement, payments, procurement, invoicing, material uploads, disclosure of information, and after-sales applications.
4.8 If you discover any unauthorized use of your account, or suspect that any person may access your private content without authorization, you shall immediately change your password and notify us. You understand that Jiaxing Yuewu requires reasonable time to process relevant requests; except where Jiaxing Yuewu is at fault as required by law, we shall not be liable for the occurrence or expansion of any resulting harm.
V. Transaction and Use Rules
5.1 When you conduct transactions or commissions through Jiaxing Yuewu for design services, PCB prototyping, SMT assembly, stencil fabrication, component procurement, mechanical parts procurement, 3D printing, or related services, you shall carefully confirm key details such as product or service name, model, specification, quantity, price, process requirements, delivery timeline, restrictions, shipping information, invoice information, and other material matters.
5.2 Your procurement or commission activities shall be based on genuine, lawful, and legitimate business needs. You may not engage in malicious ordering, malicious refusal to accept goods, malicious rights claims, coupon arbitrage, repeated bad-faith complaints or compensation claims, fake transactions, fake reviews, or other conduct that disrupts the normal transaction order.
5.3 You may not use plug-ins, scripts, automated scraping, database probing, cyberattacks, interface abuse, reverse engineering, or similar means to intrude upon or interfere with Jiaxing Yuewu's platform, mall, community, design tools, or backend systems.
5.4 You may not publish, reproduce, or transmit through any Jiaxing Yuewu page any content that is illegal, infringes lawful rights and interests of others, endangers national security, disrupts public order, insults or defames others, distributes malicious programs, or is otherwise prohibited by laws and regulations.
5.5 For users who obtain coupons, points, cash, gifts, subsidies, or campaign eligibility through improper means, Jiaxing Yuewu has the right to make an independent determination and take measures including account freezing, point clearing, coupon invalidation, gift cancellation, and cancellation of related orders.
5.6 Where you engage in conduct that affects the normal operation of the website, exploits platform loopholes for gain, involves bulk account registration, provision of false identity information, malicious compensation claims or complaints, or other clearly improper behavior, Jiaxing Yuewu may restrict all or part of your account permissions, including but not limited to canceling pending orders, restricting order placement, freezing accounts, and terminating services.
VI. Personal Information Protection and Privacy Policy
6.1 Jiaxing Yuewu attaches great importance to the protection of your personal information. Jiaxing Yuewu will collect, store, use, share, disclose, and protect your personal information in accordance with this Agreement and the Jiaxing Yuewu Privacy Policy.
6.2 When you provide third-party information to Jiaxing Yuewu, you shall ensure that you have obtained lawful authorization for the collection and use of such information, and that you are entitled to provide such information to Jiaxing Yuewu.
6.3 If Jiaxing Yuewu is subject to any complaint, claim, penalty, or other liability arising from the use of third-party information provided by you, you shall ensure that Jiaxing Yuewu is held harmless and shall bear all resulting losses.
VII. Transaction Rules and After-Sales Services
7.1 Unless otherwise proven, data retained by Jiaxing Yuewu's systems, websites, clients, order pages, payment pages, and backend systems relating to products, services, transactions, logistics, receipt confirmation, after-sales handling, and communications may serve as valid evidence of your use of Jiaxing Yuewu's services.
7.2 You shall, in accordance with applicable laws, regulations, and platform requirements, re-check the information of the products or services purchased, including price, quantity, delivery method, consignee, address, contact details, and invoice information. By clicking buttons such as "Submit Order" or "Confirm Payment," you acknowledge that the information contained in the order is true, accurate, and complete.
7.3 Although we make every reasonable effort, displayed information may still be delayed or inaccurate due to objective factors such as internet technology, system caching, price updates, inventory changes, and campaign configuration. If displayed information relating to price, discounts, inventory, delivery schedule, or similar matters is obviously unreasonable due to a system malfunction or evident error, please do not continue submitting the order; if you knowingly proceed despite obvious abnormalities, Jiaxing Yuewu has the right to deem such conduct malicious and cancel the transaction.
7.4 Jiaxing Yuewu will provide corresponding after-sales support in accordance with national laws and regulations, product or service descriptions, order agreements, and published platform after-sales rules. Different business lines may have different scopes, durations, standards, and procedures for after-sales responsibilities, subject to the rules and order terms applicable at the time.
VIII. Cybersecurity
8.1 Without Jiaxing Yuewu's express written permission, you may not use robots, spiders, screen-scraping tools, automation tools, or any similar means for any purpose to access Jiaxing Yuewu's websites, mall, community, design tools, or related systems.
8.2 You may not impose an unreasonable or disproportionate burden on Jiaxing Yuewu's systems or platforms, nor may you reproduce, copy, modify, mirror, distribute, or publicly display platform content, interfere with the normal operation of the website or related activities, or transmit viruses, trojans, time bombs, spyware, or other malicious programs.
IX. Intellectual Property and Related Rights
9.1 All copyrights, patent rights, trademark rights, trade secrets, software code, page layouts, database rights, and any other ownership rights or interests relating to the services provided by Jiaxing Yuewu belong to Jiaxing Yuewu, its affiliates, or relevant rights holders.
9.2 Without prior written consent from Jiaxing Yuewu or the relevant rights holder, no person may download, copy, disseminate, adapt, edit, mirror, display, scrape, or commercially use the foregoing content without authorization.
9.3 With respect to any text, images, audio, video, design files, comments, project materials, or other content you upload, publish, or submit in the course of using Jiaxing Yuewu's services, provided that such content does not violate laws, regulations, or third-party rights, you agree to grant Jiaxing Yuewu a non-exclusive license to use such content for platform operation, display, review, transaction handling, after-sales services, promotional activities, and necessary technical processing.
X. Force Majeure and Disclaimer
10.1 Jiaxing Yuewu will make reasonable efforts at the technical level to ensure the normal operation of the services, avoid service interruptions, and minimize the duration of any interruption.
10.2 You understand that Jiaxing Yuewu cannot guarantee that the network services will meet all of your needs, nor can it guarantee that the services will be uninterrupted. We do not make absolute guarantees regarding the timeliness, security, accuracy, or continuous stability of network services.
10.3 Jiaxing Yuewu shall not be liable, to the extent permitted by law, for service interruption, delay, data loss, transaction obstacles, or other losses caused by telecommunication failures, internet failures, viruses, trojans, hacker attacks, system maintenance, changes in laws or regulations, judicial or administrative orders, war, terrorist attacks, natural disasters, power outages, or other force majeure events.
XI. Liability for Breach
11.1 If we discover, or receive reports or complaints from others and have reasonable grounds to believe, that you have violated this Agreement, any separate agreement, platform rules, or laws and regulations, we may take measures including warnings, deletion of content, restriction of functions, account freezing, order cancellation, suspension or termination of services, termination of this Agreement, and claims for damages.
11.2 If your conduct causes losses to Jiaxing Yuewu, its affiliates, partners, or any third party, you shall fully compensate for all resulting losses and expenses, including but not limited to direct losses, reputational losses, third-party claims, administrative penalties, litigation costs, attorneys' fees, notarization fees, and enforcement or rights-protection expenses.
XII. Notices and Service of Documents
12.1 When registering as a Jiaxing Yuewu user and accepting related services, you shall provide true and valid contact information to Jiaxing Yuewu, including mobile number, email address, contact address, shipping information, and similar details. If your contact information changes, you shall update it promptly and keep it reachable.
12.2 Jiaxing Yuewu may send notices to you by one or more methods, including SMS, telephone, email, internal messages, system notifications, page announcements, and paper notices. Such notices shall be deemed duly served once sent or lawfully published.
12.3 For matters including transaction disputes, rights protection handling, account risk control, and service of legal documents, you agree that judicial authorities or Jiaxing Yuewu may use the contact information you provided during registration, updates, or transactions as a valid address for service.
XIII. Termination of the Agreement
13.1 You have the right to apply for account cancellation and terminate this Agreement when you satisfy the applicable platform rules and cancellation conditions.
13.2 If you violate this Agreement, publish prohibited information, misappropriate another person's account, obtain property by fraud, disrupt transaction order, seek improper gains through improper means, or otherwise fall under circumstances where services should be terminated, Jiaxing Yuewu may terminate this Agreement and stop providing services to you in accordance with the applicable rules.
13.3 After termination of this Agreement, unless otherwise required by law, Jiaxing Yuewu has no obligation to disclose any information in your account to you or any third party designated by you. However, Jiaxing Yuewu retains the right to continue preserving relevant information in accordance with law and to pursue liability for your past breaches.
XIV. Governing Law and Jurisdiction
14.1 The conclusion, effectiveness, interpretation, amendment, performance, termination, and dispute resolution of this Agreement shall be governed by the laws of mainland China.
14.2 Any dispute arising from or related to your use of Jiaxing Yuewu's services shall first be resolved through friendly negotiation. If negotiation fails, either party may bring an action before the competent people's court at the place where the Jiaxing Yuewu entity performing obligations to you is located.
XV. Miscellaneous
15.1 Due to the rapid development of the internet and changes in business, the provisions of this Agreement may not fully list or cover all rights and obligations between you and Jiaxing Yuewu, and existing terms may not fully meet future development needs. Therefore, the rules, descriptions, statements, and policies published by Jiaxing Yuewu for specific services shall constitute supplementary documents to this Agreement and have the same legal effect as this Agreement.
15.2 If any provision of this Agreement is deemed invalid, unenforceable, or partially invalid, the validity of the remaining provisions shall not be affected.
15.3 Jiaxing Yuewu has the right to amend this Agreement as necessary in accordance with laws and regulations and publish such amendments through reasonable means. Your continued use of Jiaxing Yuewu's services shall be deemed acceptance of the amended Agreement.
